1. Acceptance of Terms

By creating a CROPORC account, purchasing hardware, or accessing any part of our platform — including the farm-management dashboard, mobile application, or IoT device firmware — you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use our services.

2. Description of Services

CROPORC provides an integrated agri-tech platform that includes:

• IoT sensor hardware for real-time monitoring of aeroponic and conventional growing environments.
• An AI-powered analytics dashboard delivering crop health insights, yield forecasts, and automated alerts.
• Machine-learning models trained on global agronomic datasets to generate farm-specific recommendations.
• A content platform (blog, research library) sharing advances in sustainable farming.
• Professional services including installation support, agronomic consulting, and custom integrations.

We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

3. Accounts & Eligibility

• You must be at least 18 years old and legally capable of entering a binding contract.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must provide accurate, current, and complete registration information and keep it updated.
• One person or legal entity may not maintain more than one free-tier account.
• You must notify us immediately at support@croporc.xyz if you suspect unauthorised access to your account.

You agree not to:

• Reverse-engineer, decompile, or tamper with CROPORC hardware, firmware, or software.
• Use the platform to store or transmit malicious code, spam, or unlawful content.
• Attempt to gain unauthorised access to other users' farm data or CROPORC infrastructure.
• Resell or sublicense access to the platform without our prior written consent.
• Use automated scraping tools to extract data from the platform at scale.
• Misrepresent your identity or affiliation when using our services.

Violation of these rules may result in immediate account suspension and legal action where appropriate.

6. Intellectual Property

All software, algorithms, AI models, firmware, trademarks, and content produced by CROPORC remain our exclusive property or that of our licensors. We grant you a limited, non-exclusive, non-transferable licence to use the platform solely for your internal farming operations during the term of your subscription. You retain ownership of your farm data. By using our platform you grant CROPORC a limited licence to process that data to deliver the services and, in anonymised form, to improve our AI models.

7. Data & Privacy

Our collection and use of personal and operational data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that any personal data you upload about third parties (e.g., farm workers) has been collected lawfully and that those individuals have been informed of its use.

8. Warranties & Disclaimers

CROPORC warrants that its hardware will be free from material defects in materials and workmanship for 12 months from delivery. Our AI recommendations are provided for informational purposes only and do not constitute professional agronomic advice. Actual crop outcomes depend on many variables outside our control. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED AVAILABILITY.

9. Limitation of Liability

To the fullest extent permitted by law, CROPORC's total aggregate liability for any claim arising under or related to these Terms shall not exceed the greater of (a) the fees you paid to CROPORC in the 12 months preceding the claim, or (b) USD 500. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of crops, revenue, or data, even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless CROPORC, its officers, employees, and partners from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the platform, or your violation of any third-party rights.

11. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or engage in conduct that poses a security risk. Upon termination you may export your farm data within 30 days; after that period we will delete it in accordance with our Privacy Policy.

12. Governing Law & Disputes

These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-law principles. Any dispute that cannot be resolved amicably within 30 days shall be submitted to binding arbitration under the rules of [Arbitration Body], conducted in English. Nothing in this clause prevents either party from seeking injunctive relief in a court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms to reflect changes in our services or applicable law. Material changes will be communicated via email or an in-platform notice at least 14 days before they take effect. Your continued use of the platform after the effective date constitutes acceptance of the revised Terms.
